My current setup:

RTC 3.0.1.2 on two boxes:

-WAS on one box (Windows 32-bit OS)

-SQL Server DB on another box (Windows 32-bit OS)

Now, to upgrade to RTC 4.0, I'll first upgrade the WAS box to Windows 64-bit from 32-bit and upgrade RTC 3.0.1.2 to RTC 4.0? I won't be changing the DB box to 64-bit OS from 32-bit OS.

Will it be okay to upgrade this way?

Please let me know.

Seems the DB has to be on 64-bit OS too!
